A “Company Secretary” is an agent authorized to represent your Hong Kong company only with the Hong Kong Authorities.
The duties of a Company Secretary are limited by law. They can act on behalf of the company only in administrative procedures pertaining to the Honk Kong Authorities (tax and social statements, administrative procedures related to the transfer of shares, change of name of the company, appointment of a director, etc.). They do not have access to the company’s bank account and is in no way a ‘Director” of the company.
